Terms And Conditions

These Terms and Conditions (“Terms”) govern the relationship between Swiss Quantum Finance AG (“SQF”, “we”, “our” or “us”) and any person or entity (“Client”, “you” or “your”) that accesses or uses our Services (as defined below). By accessing or using the Services you confirm that you have read, understood and agree to be legally bound by these Terms. If you do not agree, you must refrain from using the Services.
1. Definitions

Account | The contractual relationship established between you and SQF (and, where applicable, Ebury Partners Belgium NV/SA) following successful onboarding. |
Applicable Law | All laws, regulations, rules and regulatory guidance that apply to the provision or use of the Services, including Swiss law and the rules of the National Bank of Belgium (“NBB”). |
Ebury Belgium | Ebury Partners Belgium NV/SA (enterprise number 0681 746 187), authorised and regulated by the NBB as a Payment Institution. |
Platform | SQF’s web and mobile interfaces, APIs and any other electronic channels through which the Services are provided. |
Services | The unregulated services provided directly by SQF (e.g. consulting, Platform access, data reporting) and the regulated payment, foreign‑exchange, e‑money, hedging and lending services provided by Ebury Belgium. |
2. Regulatory Status
Swiss Quantum Finance AG (UID CHE‑380.703.618) is a company registered in Switzerland with its registered office at Neugasse 4, 6300 Zug. SQF acts as a Programme Manager of Ebury Partners Belgium NV/SA. All regulated payment, e‑money, FX, hedging and lending Services referenced in these Terms are provided solely by Ebury Belgium and are subject to Ebury Belgium’s General Terms and Conditions (https://www.ebury.com/terms) (“Ebury Terms”). In the event of any conflict between these Terms and the Ebury Terms, the Ebury Terms prevail for the regulated Services.
SQF itself does not hold a payment‑services, e‑money or banking licence and does not provide regulated payment or e‑money services in its own right.
3. Scope of Services

Platform Access & Support (SQF). We grant you a non‑exclusive, non‑transferable right to access the Platform to view balances, initiate transactions and generate reports.

Payment, FX, Hedging & Lending (Ebury Belgium). These Services are delivered by Ebury Belgium under the Ebury Terms. You acknowledge and accept that Ebury Belgium is your counterparty for those Services.
4. Eligibility and Client Obligations

You confirm that you are a business user or a professional/qualified client and that you act for commercial purposes only.

You will provide true, complete and up‑to‑date information during onboarding and throughout the relationship.

You will not use the Services for any unlawful purpose or in breach of Applicable Law.
5. Account Registration and Security
You must protect your login credentials, API keys and authentication devices. You are responsible for all instructions submitted via your Account unless you have notified us immediately of loss, theft or unauthorised use.
6. KYC / AML Screening
Provision of Services is subject to completion of know‑your‑customer, anti‑money‑laundering, sanctions and fraud checks by SQF and/or Ebury Belgium. We may request additional information at any time and may suspend or terminate the Services if you fail to satisfy these requirements.
7. Fees and Charges
The Fees applicable to your Account are set out in the separate Fee Schedule agreed with you or displayed in the Platform. We will give you at least 30 days’ notice before increasing Fees unless a shorter notice is required by Applicable Law or relates to a pass‑through cost (e.g., correspondent‑bank charges).
8. Risks
You acknowledge that:

Foreign‑exchange markets are volatile and losses may occur;

Lending arrangements may be terminated or margin‐called according to the Ebury Terms;

Segregation of client funds and safeguarding are provided by Ebury Belgium in accordance with Belgian law.
9. Confidentiality and Data Protection
We treat your information confidentially and in accordance with our Privacy Policy (https://swissquantumfinance.com/privacy). Personal data necessary for the provision of regulated Services will be shared with Ebury Belgium and processed in accordance with the Ebury Terms and Applicable Data‑Protection Law (including GDPR where applicable).
10. Intellectual Property
All intellectual‑property rights in the Platform, SQF trademarks and content remain the exclusive property of SQF (or our licensors). You may not copy, modify, distribute or reverse‑engineer any part of the Platform without our written consent.
11. Termination
Either party may terminate these Terms by giving 30 days’ written notice. We may terminate immediately if you breach these Terms, fail KYC/AML requirements or if continued service would breach Applicable Law. Upon termination:

Ebury Belgium will settle any pending transactions and return available balances in accordance with the Ebury Terms; and

Your access to the Platform will cease.
12. Limitation of Liability

Indirect Loss. SQF is not liable for indirect, incidental, or consequential loss, loss of profit or loss of data.

Cap. SQF’s total aggregate liability arising from or in connection with the Services in any 12‑month period is limited to the Fees paid by you to SQF during that period.

Regulated Services. Any liability for regulated Services is governed exclusively by the Ebury Terms and rests with Ebury Belgium.
Nothing in these Terms excludes liability for fraud, gross negligence or any liability that cannot be excluded under Applicable Law.
13. Indemnity
You indemnify and hold SQF harmless against all claims, damages, losses and expenses (including legal fees) arising out of your breach of these Terms or Applicable Law.
14. Complaints and Dispute Resolution

Stage 1. Notify SQF at complaints@swissquantumfinance.com. We will acknowledge within 5 Business Days and aim to resolve within 15 Business Days.

Stage 2 (regulated Services). If your complaint relates to Services delivered by Ebury Belgium and you are not satisfied with the outcome, you may refer it to Ombudsfin – Ombudsman in Financial Matters, Rue Belliard 15–17, B‑1040 Brussels (https://www.ombudsfin.be). Further details are in the Ebury Terms.
15. Changes to These Terms
We may revise these Terms by giving you 30 days’ written notice (email or Platform message). If you do not agree, you may terminate under clause 11 before the change takes effect. Continued use after the effective date constitutes acceptance.
16. Governing Law and Jurisdiction
These Terms are governed by Swiss law. The courts of Zug, Switzerland have exclusive jurisdiction, without prejudice to any mandatory rights you may have under Applicable Law.
17. Entire Agreement and Severability
These Terms, together with the Ebury Terms and any Fee Schedule, constitute the entire agreement between the parties and supersede all prior discussions. If any provision is held invalid, the remaining provisions continue in full force.
18. Language
These Terms are drafted in English. If translated, the English version prevails in case of discrepancy.
19. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights to an affiliate or successor by providing notice.
